Welcome to Soft Houze. These Terms of Service ("Terms") govern your use of our website at softhouze.com and any services provided by Soft Houze Pvt. Ltd. ("Company", "we", "our", or "us"). By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Services
Soft Houze provides software development services including, but not limited to, web development, mobile application development, UI/UX design, AI/ML development, e-commerce solutions, SEO services, and related digital services.
Specific services, timelines, deliverables, and payment terms are defined in individual project agreements, proposals, or statements of work ("Project Agreement") executed between Soft Houze and the client.
2. Project Agreements and Payment
Proposals: All project proposals are valid for 30 days from the date of issue. Prices may be subject to change after this period.
Payment Terms: Unless otherwise specified in the Project Agreement, our standard payment structure is 50% upfront before work commences and 50% upon project completion before final delivery of files.
Late Payments: Invoices unpaid after 30 days may incur a late fee of 1.5% per month on the outstanding balance. We reserve the right to suspend work on projects with overdue payments.
Refunds: Deposits are non-refundable once work has commenced. Refund requests for completed work will be evaluated on a case-by-case basis.
3. Intellectual Property
Client ownership: Upon receipt of full payment, the client owns all custom code, designs, and deliverables created specifically for their project. This transfer includes source code, design files, and associated assets.
Third-party components: Projects may incorporate open-source libraries, frameworks, fonts, or stock assets. These remain subject to their respective licences (e.g., MIT, Apache 2.0). We will disclose all third-party components used.
Portfolio rights: We retain the right to display completed projects in our portfolio and marketing materials, unless the client requests otherwise in writing.
Pre-existing IP: Any tools, templates, or methodologies developed by Soft Houze prior to a project remain our property. Clients receive a licence to use these as incorporated into their deliverables.
4. Confidentiality
We treat all client information as strictly confidential. We will sign a Non-Disclosure Agreement (NDA) upon request before project commencement. Our team members are bound by confidentiality obligations regarding client data and business information.
5. Revisions and Changes
Revision rounds included in each project are specified in the Project Agreement. Additional revisions beyond the agreed scope may be billed at our standard hourly rate. Significant changes to project scope ("scope creep") will require a revised proposal and may affect delivery timelines and cost.
6. Delivery Timelines
Estimated timelines provided in proposals are in good faith based on the information available at the time. Timelines may be affected by: delays in client feedback or content provision, scope changes, third-party dependencies (e.g., app store approvals, domain transfers), or force majeure events. We will communicate any delays promptly.
7. Client Responsibilities
To ensure successful project delivery, clients agree to:
- Provide timely feedback and approvals (within 5 business days of requests)
- Supply necessary content, assets, and access credentials promptly
- Ensure provided content does not infringe third-party rights
- Designate a primary point of contact for the project
- Make payments according to the agreed schedule
8. Warranties and Disclaimers
We warrant that our services will be performed with reasonable skill and care, and that deliverables will conform to the agreed specifications at the time of delivery.
We provide a 30-day warranty on all completed work, covering bugs or defects in the code we have written. This does not cover issues arising from client modifications, third-party service changes, or hosting environment problems.
Beyond the warranty period, ongoing maintenance and support are available as separate retainer agreements.
Disclaimer: Our website and services are provided "as is". We make no warranties regarding the fitness for a particular purpose or uninterrupted availability of our website.
9. Limitation of Liability
To the fullest extent permitted by law, Soft Houze's total liability to any client for any claim arising from our services shall not exceed the total amount paid by that client for the specific project giving rise to the claim.
We shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.
10. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes may be referred to binding arbitration.
11. Termination
Either party may terminate a project by providing written notice. Upon termination, the client shall pay for all work completed up to the termination date. Deposits already paid are non-refundable.
12. Changes to These Terms
We may update these Terms from time to time. Continued use of our services after changes are posted constitutes acceptance of the new Terms. We will notify active clients of material changes.
